Constitution and By Laws

Adopted February 25th 2008

ARTICLE I   NAME AND PURPOSE

Sect. 1
This organization shall be called the Fort Dorchester Football Boosters, hereafter called FDFB.

Sect. 2
The object of the organization shall be to promote a high level of moral support for the Fort Dorchester High School football program and such financial support as the resourcefulness of its members may provide.

Sect. 3
Any contact the FDFB may have with the school or its officials will be made through the head football coach or his designated representative.

Sect. 4
The FDFB will not have any authority concerning the coaching, selection of team members, playing time or position of team members.

Sect. 5
The purposes for which the FDFB is organized are exclusively religious, charitable, scientific, literary and educational within the meaning of section 501( c) (3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States Internal Revenue law.

Sect. 6
Notwithstanding any other provision of these articles, the FDFB shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal income tax under sections 501 (c) (3) and 170 (c) (2) of the Internal Revenue law.

Sect. 7
In the event of dissolution, the residual assets of the FDFB will be turned over to one or more organizations which themselves are exempt as organizations described in sections 501 (c) (3) and 170 (c) (2) of the Internal Revenue Code of 1954 or corresponding sections of any prior or future Internal Revenue Code, or the Federal, State or local government for the exclusive public purpose.

ARTICLE 2   OFFICERS

Sect. 1
The officers of the FDFB shall be President, Vice President, Secretary and Treasurer, They shall serve annual terms. Officers shall not represent more than one individual from each member family. Nominations shall be submitted 30 days before elections. Elections for the next fiscal year will be held not more than 60 days prior to the end of the current fiscal year. The installation of officers will be held at the general meeting closest to the beginning of the fiscal year, but no later than 15 days after the start of the fiscal year. In the event an officer cannot fulfill his/her term, the Executive Board may appoint someone to fulfill the remainder of the term.

Sect. 2   President
The President shall be the chief official of the FDFB and shall perform such duties as normally belong to this office. He/she shall preside over all meetings. He/she will have the power, on extraordinary occasions, to call special meetings of the membership upon giving a minimum of two (2) days notice to the members and stating in this notice the purpose of the special meeting. He/she will appoint all committee chairpersons and will be an ex-officio member of all committees.

Sect. 3   Vice President
The Vice President shall have the duties that normally belong to this office and shall act as the President and perform the duties of the President in his/her absence.

Sect. 4   Secretary
The Secretary shall have the following duties: He/she shall keep full and accurate records of minutes of all meetings of the FDFB and of all matters of which written record shall have been ordered by the President. He/she shall keep a complete and accurate roll of the members, officers, and committees of the FDFB, together with the address of each. He/she shall, with the aid of the President, issue all notices of special meetings. He/she shall render a report each month.

Sect. 5   Treasurer
The Treasurer shall keep an accurate account of all monies on hand or under his/her control and render a written report at each meeting, or as required by the President, as to the financial standing of the FDFB. Reviews of the Treasurer will be performed periodically and as required, by individuals other than Executive Board Members. At the end of the fiscal year, established as April I - March 31, the accounts of the FDFB will be reviewed annually or at the installation of a new Treasurer by persons appointed by the Executive Board. A written report of their findings will be submitted to the general membership at the next general meeting of the membership.

ARTICLE 3   MEMBERSHIP

Sect. 1
All parents of the members of the Fort Dorchester High School Varsity, Junior Varsity, and B-Team league football programs and all other persons who express an interest in the promotion of these programs and complying with the provisions of the Constitution and By-Laws shall be eligible for membership in the FDFB.

Sect. 2
Each member in good standing shall have the right of a vote upon all issues which shall come before the organization for decision and no member shall be permitted to cast the vote of another member.

Sect. 3
The membership fee shall be established by the majority of the members present at the March general meeting.

ARTICLE 4   COMMITTEES

Sect. 1
The following standing committees shall be established and chairpersons appointed by the President:
Membership
Business Partners
Banquets
Fund Raising
Patriot Seats
Meals
Sect. 2
The President shall establish ad hoc committees and appoint chairpersons as needed.

ARTICLE 5   EXECUTIVE BOARD

Sect. 1
The Executive Board shall consist of the elected officers and the head football coach as an ex-officio member.

Sect. 2
The Executive Board’s function is to act as a steering committee.

ARTICLE 6   MEETINGS

Sect. 1
The Executive Board shall hold monthly board meetings before the general meeting, unless otherwise notified.

Sect. 2
The Executive Board will determine the schedule for general meetings and will communicate the schedule to the members.

ARTICLE 7   HOW TO AMEND

Sect. 1
The Constitution and By-Laws may be amended by two-thirds of the members present at any general meeting provided notice of the proposed amendment shall have been given to all members at least 30 days prior to the meeting.

ARTICLE 8   GENERAL PROVISIONS

Sect. 1
All checks issued by the FDFB will have the signatures of the Treasurer or two (2) other elected officers of the organization. Authorized signatures are those of the Treasurer or any two (2) Executive Board officers.

Sect 2
A Special Budget committee will meet prior to or during the month of April for the purpose of drafting a budget for the coming year. This Committee shall consist of the elected officers, the chairpersons, and the head football coach as an ex-officio member. It is to be chaired by the President or the Treasurer.

Sect. 3
A proposed budget will be presented at the April general meeting to be approved by the general membership at the May general meeting.
